This Software is an administrative clinic management tool. It does not provide medical services, professional diagnosis, or treatment decisions. Medical practitioners are solely responsible for compliance with healthcare regulations and patient diagnosis/care.
Welcome to Freezy, a cloud-based Clinic Management and Practice Management Software-as-a-Service ("SaaS") platform owned and operated by Freezy Technologies Private Limited, a company incorporated under the laws of India, having its registered office at M-901, Jade Residences, Phase 1, Nagar Road, Pune (MH), India.
These Terms and Conditions ("Terms") govern your access to and use of the Freezy Web Application, Mobile Applications, APIs, Websites, Cloud Services, Documentation, Integrations, Support Services, and any future products and services offered by Freezy.
By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, and any other policies referenced herein.
If you do not agree with these Terms, you must immediately discontinue use of the Services.
Freezy is a cloud-based SaaS platform designed to help healthcare professionals efficiently manage their clinical practice and administrative operations. Depending on the subscription plan, Services may include:
Freezy is a software platform only.
Freezy does not provide medical advice, diagnosis, treatment, emergency medical services, pharmaceutical services, or healthcare consultation. All medical decisions remain solely the responsibility of the licensed healthcare professional using the Platform.
Account
A registered user account created to access Freezy Services.
Administrator
The primary user designated by the Customer who has authority to manage the organization's subscription, users, permissions, and settings.
Authorized User
Any individual authorized by the Customer to access the Platform, including doctors, therapists, receptionists, assistants, administrators, accountants, or other staff members.
Clinic
Any healthcare organization, medical practice, hospital, diagnostic center, wellness center, physiotherapy clinic, dental clinic, or other healthcare establishment registered on Freezy.
Customer
The individual or legal entity that subscribes to the Services.
Data
All information stored, uploaded, created, generated, or processed through the Platform, including patient information, medical records, appointments, prescriptions, images, billing data, reports, audit logs, and communications.
Patient
Any individual whose information is recorded or managed using the Platform.
Platform
Collectively refers to the Website, Mobile Applications, APIs, Cloud Infrastructure, Documentation, Dashboards, and Related Software.
Services
All software products, features, applications, APIs, support services, and related offerings provided by Freezy.
Subscription
A paid or free plan offered by Freezy for accessing the Services.
By accessing, registering, or using the Services, you confirm that you have read and agree to be legally bound by these Terms. You also confirm that:
Healthcare professionals are responsible for ensuring they possess all licenses, registrations, permits, and approvals required to practice within their respective jurisdictions. Freezy does not verify professional qualifications.
When creating an account, you agree to:
A clinic or healthcare organization may create an organizational account. The Organization Administrator may invite team members, assign roles, manage subscriptions, configure clinic settings, access reports, and manage billing. The Administrator is responsible for ensuring all Authorized Users comply with these Terms. Freezy shall not be liable for actions performed by Authorized Users under an organization's account.
Freezy reserves the right to suspend or terminate accounts that contain false, misleading, or incomplete information.
By using the Services, you consent to receive communications from Freezy electronically (account notifications, security alerts, password resets, subscription notices, payment receipts, product updates, maintenance notifications, and legal notices). Communications may be delivered through Email, SMS, WhatsApp, Push Notifications, and In-App Notifications.
Electronic communications shall satisfy any legal requirement that such communications be in writing.
Freezy reserves the right to modify these Terms at any time to reflect changes in applicable laws, new product features, security enhancements, business requirements, or industry best practices. Updated Terms will be published on the Freezy website or within the Platform.
Continued use of the Services after the effective date of any revised Terms constitutes acceptance.
If you do not agree with the revised Terms, you must discontinue using the Services before they become effective.
Freezy offers various subscription plans (including Free Trial, Basic, Professional, Enterprise, and others). Each plan may differ in number of clinics/users/appointments, storage, available features, API access, AI capabilities, support level, and other limits. Full details are available on the official Freezy website or within the Platform.
Freezy reserves the right to modify, discontinue, or introduce new subscription plans at its sole discretion. Changes to pricing shall not affect an existing paid subscription until the next renewal date unless otherwise agreed in writing.
Freezy may offer a free trial to eligible customers. Unless otherwise specified, a Free Trial is limited to one trial per clinic or organization; trial duration and features may vary; certain premium features may not be available. Freezy reserves the right to end, modify, or reject trials at any time.
Upon trial expiry, access to premium features may be restricted. Customer data shall remain available only in accordance with Freezy's Data Retention Policy. Continued use requires a valid paid subscription.
Commencement
A subscription becomes active upon successful payment confirmation, activation by Freezy, execution of a commercial agreement (Enterprise), or any other activation process communicated by Freezy.
Renewal
Subscriptions may be renewed monthly, quarterly, half-yearly, annually, or multi-year. Unless otherwise agreed, subscriptions do not automatically renew. Customers are responsible for renewing before expiry to avoid service interruption.
Upgrades & Downgrades
Upgrades take effect immediately with prorated charges. Downgrades take effect at the next billing cycle and may result in loss of premium features, reduced storage, user limits, appointment limits, and API access. Customers are responsible for ensuring usage remains within the limits of the downgraded plan.
Grace Period
Freezy may, at its sole discretion, provide a grace period after subscription expiry. During this time, limited access may be available; new records and appointments may be restricted; data may be read-only. Granting a grace period once does not create an obligation to provide one in future.
Invoices are generated electronically and may include subscription charges, add-on services, additional storage, SMS/WhatsApp credits, API usage, professional services, taxes, and other applicable charges. Invoices are delivered to the registered email address. Customers are responsible for verifying invoice accuracy.
All fees are exclusive of applicable taxes unless expressly stated otherwise. Customers are responsible for GST, VAT, Sales Tax, Withholding Tax, and other applicable levies. Where applicable, Freezy shall issue GST-compliant tax invoices. Customers must provide accurate GST registration details.
Subscription fees may be displayed and charged in multiple currencies depending on the Customer's location. Exchange rates are determined by the payment provider. Customers are responsible for any applicable currency conversion charges.
Accepted payment methods (via secure third-party gateways):
Freezy does not store full payment card details. Payment processing is subject to the terms of the respective payment gateway.
If payment fails, subscription activation may be delayed, existing subscriptions may be suspended after expiry, and outstanding invoices remain payable. Freezy reserves the right to suspend Services until all outstanding payments are cleared.
Unless required by applicable law or expressly agreed by Freezy:
Customers may cancel their subscription at any time. Cancellation prevents future renewals but does not automatically generate refunds. Upon cancellation, access continues until the subscription expiry date. Data shall be retained in accordance with Freezy's Data Retention Policy.
Freezy may periodically offer Discount Coupons, Promotional Credits, Referral Rewards, Launch Offers, and Enterprise Discounts. Such offers cannot be exchanged for cash, cannot be transferred, may have expiry dates, and may be withdrawn without notice.
Subscriptions are intended solely for the Customer's internal business operations. Customers may not resell or sublicense the Services, provide commercial hosting of Freezy to third parties, or share subscription access with unrelated organizations.
Unauthorized resale or distribution may result in immediate suspension without refund.
Each subscription plan may include limits on maximum clinics, users, appointments, storage, SMS credits, WhatsApp credits, AI credits, and API requests. Exceeding plan limits may result in restricted access, additional charges, or a requirement to upgrade.
All data uploaded, entered, or generated by the Customer through the Platform remains the property of the Customer. Freezy does not claim ownership of Customer Data. The Customer grants Freezy a limited, non-exclusive, worldwide license to process, store, transmit, back up, and display Customer Data solely to provide, maintain, secure, and improve the Services.
The Customer is solely responsible for the collection, accuracy, legality, and use of patient information. The Customer represents and warrants that:
Freezy processes patient data only as instructed by the Customer and does not independently determine the purposes or means of processing such data. This Privacy Policy, which forms an integral part of these Terms, governs how personal information is handled. By using the Services, the Customer acknowledges they have read and understood the Privacy Policy.
Freezy implements commercially reasonable administrative, technical, and physical safeguards including TLS encryption, encrypted data at rest, role-based access control, password hashing, multi-factor authentication, audit logging, continuous monitoring, firewalls, intrusion detection, vulnerability assessments, and penetration testing.
No system connected to the Internet can be guaranteed to be completely secure.
Customers are responsible for:
Freezy shall not be responsible for unauthorized access resulting from compromised Customer credentials, phishing attacks, weak passwords, or Customer negligence.
Backup
Freezy performs periodic backups for business continuity and disaster recovery. Backups are intended for operational recovery only. Customers are encouraged to maintain independent copies of critical information. Freezy does not guarantee recovery of all data following accidental deletion, corruption, or catastrophic events.
Retention
Freezy retains Customer Data for as long as necessary to provide the Services and comply with applicable legal obligations. Following subscription expiry or termination, data may remain available during a grace period before archiving or deletion. Freezy may retain limited data where required for legal compliance, tax/accounting, fraud prevention, security investigations, or enforcement of these Terms.
Export
Where supported, Customers may export their data (CSV, Excel, PDF, and other formats) during an active subscription. Freezy reserves the right to define reasonable limits on export frequency and file size.
Deletion
Customers may request deletion of their account and associated data after termination. Freezy will verify the requesting party's identity before processing. Deletion may be declined where required by law, court orders, or legitimate business purposes.
Once deleted, Customer Data may not be recoverable.
If Freezy becomes aware of a confirmed security incident affecting Customer Data, we will make reasonable efforts to investigate, mitigate impact, and notify affected Customers within a reasonable timeframe where required by applicable law, and provide information necessary to assist Customers in fulfilling their own legal obligations.
Freezy does not guarantee that every attempted attack or unsuccessful intrusion attempt will be reported.
Each party agrees to maintain the confidentiality of the other party's confidential information (business plans, technical documentation, product roadmaps, pricing, customer lists, security architecture, source code, medical records, and non-public reports) and use such information solely for purposes related to the Services.
Confidential Information does not include information that is publicly available through no fault of the receiving party, was lawfully known before disclosure, is independently developed without reference to the disclosed information, or must be disclosed pursuant to applicable law or valid legal process.
This obligation survives termination of the Services.
Freezy does not provide medical advice, diagnose diseases, recommend treatments, prescribe medications, or replace qualified healthcare professionals. Healthcare professionals are solely responsible for clinical decisions, diagnoses, prescriptions, treatments, patient safety, and regulatory compliance.
No feature of the Platform, including AI-powered functionality, should be relied upon as a substitute for professional medical judgment. Under no circumstances will Freezy be liable for patient injuries, malpractice claims, or medical complications resulting from the use or malfunction of the Software.
Freezy may create anonymized and aggregated statistical information derived from Customer Data for improving Services, performance analysis, capacity planning, product development, and industry benchmarking. Such information will not identify any Customer, clinic, healthcare professional, or patient, and will not include personally identifiable information.
The Platform maintains audit logs recording significant user activities including logins, record creation/modification/deletion, configuration changes, and user management activities. Audit logs are maintained to enhance accountability, security, troubleshooting, and regulatory compliance.
The Customer is responsible for ensuring all Users within their organization comply with these Terms. The Customer agrees to:
The Customer is responsible for all activities performed under its account. Freezy shall not be liable for actions performed by Authorized Users under valid login credentials.
Customers and Users must use the Services responsibly and lawfully. Users agree not to:
Any prohibited activity constitutes a material breach of these Terms and may result in immediate suspension or termination.
The Platform may integrate with third-party providers including payment gateways, email/SMS providers, WhatsApp Business APIs, video consultation platforms, laboratory systems, diagnostic systems, government APIs, and cloud storage providers. Use of such integrations is subject to the terms and privacy policies of the respective third parties.
Freezy is not responsible for the performance, availability, security, or policies of third-party services beyond its reasonable control.
Customers are responsible for ensuring their use of the Services complies with all applicable laws and regulations governing healthcare, privacy, medical records, taxation, and professional conduct. Freezy designs its Services to support compliance but does not guarantee that use of the Platform alone satisfies any specific legal or regulatory requirement.
If your clinical practice is subject to medical privacy laws (such as HIPAA in the US, GDPR in Europe, or DPDP Act in India): you act as the Data Controller (or Covered Entity), and Freezy acts strictly as the Data Processor (or Business Associate). You guarantee that you have obtained all necessary consents from your patients and are solely responsible for securing workstation credentials and training your staff on secure data handling.
Where Services are used across multiple jurisdictions, Customer Data may be processed or stored in data centers in different countries, subject to applicable laws and contractual safeguards. By using the Services, the Customer consents to such processing where permitted by law.
Freezy and its licensors retain all right, title, and interest in the Platform including software, source code, object code, databases, APIs, user interfaces, documentation, graphics, logos, brand names, trademarks, designs, workflows, reports, and product features. No ownership rights are transferred to the Customer through use of the Services.
Subject to compliance with these Terms and payment of applicable fees, Freezy grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform during the active subscription period for internal business operations only. The license automatically terminates upon expiration or termination of the subscription.
The Platform may include components licensed under open-source licenses. Such components remain subject to their respective licenses. Nothing in these Terms limits the Customer's rights under applicable open-source licenses.
Customers may voluntarily submit suggestions, enhancement requests, feature ideas, bug reports, or product feedback. Unless otherwise agreed in writing, Freezy may use such feedback without restriction or compensation. Submitting feedback does not transfer ownership of Customer Data.
Customers are encouraged to provide honest reviews. However, Customers agree not to publish false, defamatory, misleading, or malicious statements intended to damage the reputation of Freezy, its employees, or other Customers. Nothing in this clause restricts lawful, truthful reviews or rights available under applicable consumer protection laws.
Freezy may periodically make beta or preview features available. Beta features may contain defects, may change without notice, and may be discontinued. They are provided "as is" without any warranty and should not be used for critical clinical workflows.
Where AI-powered features are available, they are designed to assist qualified healthcare professionals — not replace them. Healthcare professionals remain solely responsible for reviewing, validating, and approving all AI-generated content. Freezy does not guarantee the accuracy, completeness, or suitability of AI outputs.
Unless the Customer expressly opts out, Freezy may identify the Customer as a client by displaying the clinic or organization name, using the organization's logo, or publishing customer success stories or testimonials with prior approval. Freezy will not disclose confidential or patient information for marketing purposes without explicit consent.
Freezy strives to maintain high availability but does not guarantee uninterrupted, continuous, or error-free operation. Service interruptions may occur due to scheduled maintenance, emergency maintenance, infrastructure failures, internet service disruptions, cloud provider outages, third-party service failures, force majeure events, or security incidents. Where reasonably practicable, Freezy will provide advance notice of scheduled maintenance.
Unless otherwise agreed under a separate Enterprise SLA, Freezy provides Services on a commercially reasonable efforts basis. To protect platform security and integrity, Freezy may monitor usage patterns and investigate suspected misuse (fraud, unauthorized access, security threats, abuse of Services, or violations of these Terms). Freezy reserves the right to suspend or terminate accounts engaged in prohibited activities.
To the maximum extent permitted by applicable law, the Platform and Services are provided on an "AS IS" and "AS AVAILABLE" basis. Freezy expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, and performance.
To the fullest extent permitted by applicable law, Freezy, its directors, officers, employees, affiliates, licensors, partners, agents, and contractors shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages including loss of profits, revenue, goodwill, business opportunities, reputation, anticipated savings, business interruption, loss of data, data corruption, patient claims arising from clinical decisions, or regulatory penalties caused by Customer non-compliance.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FREEZY'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES ACTUALLY PAID BY THE CUSTOMER DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. This limitation applies regardless of the number of claims.
Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
The Customer agrees to defend, indemnify, and hold harmless Freezy, its directors, officers, employees, affiliates, licensors, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from breach of these Terms, misuse of the Platform, violation of applicable laws, infringement of third-party rights, improper handling of patient information, unauthorized use of Customer accounts, or clinical decisions made by healthcare professionals using the Platform.
Freezy may suspend or terminate access if subscription fees remain unpaid, the Customer breaches these Terms, there is suspected fraud or abuse, the Platform is subject to a security threat, continued access presents risk, or required by law. Where reasonably practicable, Freezy will notify the Customer before suspension.
Immediate suspension may occur where necessary to protect the Platform or comply with legal obligations.
Customers may terminate their subscription by following the cancellation process in the Platform or by contacting Freezy support. Termination does not relieve the Customer of payment obligations accrued prior to termination.
Upon termination: Customer access ceases, user accounts may be disabled, subscription benefits end, Customer Data is handled per the Data Retention Policy, outstanding invoices remain payable, and clauses intended to survive termination continue in effect.
Freezy shall not be liable for any delay or failure to perform obligations where such delay or failure results from events beyond its reasonable control, including natural disasters, floods, earthquakes, fire, war, terrorism, pandemic, government actions, internet outages, power failures, cloud infrastructure failures, labor disputes, or cyberattacks affecting providers. Performance shall resume as soon as reasonably practicable after the event concludes.
The Customer may not assign or transfer its rights or obligations under these Terms without Freezy's prior written consent. Freezy may assign these Terms in connection with corporate restructuring, merger, acquisition, sale of assets, or internal reorganization, provided such assignment does not materially reduce the Customer's contractual rights.
These Terms shall be governed by and interpreted in accordance with the laws of India, without regard to conflict of law principles.
The Parties agree to attempt to resolve disputes amicably through good-faith discussions. If a dispute cannot be resolved within thirty (30) days of written notice, either party may refer the dispute to arbitration conducted under the Arbitration and Conciliation Act, 1996, as amended, by a sole arbitrator mutually agreed upon by the Parties, in the English language. The seat and venue of arbitration shall be Pune, Maharashtra, India.
Subject to the arbitration clause, the courts located in Pune, Maharashtra, India shall have exclusive jurisdiction over matters requiring judicial intervention.
Entire Agreement
These Terms, together with the Privacy Policy, Refund Policy, Acceptable Use Policy, Security Policy, and any applicable Subscription Agreement or Enterprise Agreement, constitute the entire agreement between the Customer and Freezy regarding the Services and supersede all prior discussions, proposals, or agreements relating to the same subject matter.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced, where possible, by a valid provision that most closely reflects the original commercial intent.
Waiver
Failure by Freezy to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision or any other provision in the future.
Copyright Infringement
If any person believes that content hosted on the Platform infringes their intellectual property rights, they may submit a written notice to legal@freezy.in containing identification of the copyrighted work, description of the allegedly infringing material, contact information, a statement made in good faith, and a declaration that the information provided is accurate.
